These Terms of Service ("Terms") govern your access to and use of Adela AI ("Service"), operated by Adela AI, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is intended for use by licensed legal professionals, law firms, and organizations engaged in the practice of law. By using the Service, you represent that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are using the Service in a professional capacity. Adela AI is a productivity tool — it does not constitute the practice of law and does not create an attorney-client relationship.
Adela AI provides AI-powered tools for legal document analysis, case organization, timeline reconstruction, predictive analytics, draft generation, and related legal workflow automation. All AI-generated content — including analysis, predictions, and drafted documents — is provided for informational and productivity purposes only. You are solely responsible for reviewing, verifying, and using any output from the Service.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us immediately at legal@adelaai.app of any unauthorized use of your account.
Access to the full Service requires a paid subscription. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or at our discretion. We reserve the right to change pricing upon reasonable notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

You retain ownership of all documents, data, and content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the Service to you. We do not use Your Content to train AI models without your explicit consent.
You are responsible for ensuring that uploading client materials to the Service is consistent with your professional obligations, applicable privilege rules, and any applicable court orders or protective orders. We implement reasonable security measures to protect Your Content, but we do not guarantee that transmissions over the internet are entirely secure. Use of the Service does not constitute a waiver of any applicable privilege.
The Service, including all software, designs, trademarks, and AI models, is owned by Adela AI, Inc. and protected by intellectual property laws. These Terms do not grant you any rights in the Service beyond what is expressly stated. AI-generated outputs produced using Your Content belong to you, subject to the limitations in Section 2.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR LEGALLY SOUND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADELA AI, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases. You may request export of Your Content within 30 days of termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
